BondBricks operates as a marketplace platform connecting investors with licensed financial partners. BondBricks is NOT the Responsible Entity of the managed investment scheme. The Responsible Entity is Perpetual Trustees, a licensed and regulated entity that holds the AFSL and manages the scheme's regulatory compliance.

How the Structure Works
BondBricks operates a marketplace platform that allows retail investors to invest in fractional ownership of Australian commercial and residential real estate through a managed investment scheme. The investment structure involves:
- BondBricks: Provides the technology platform, marketplace services, and investor experience
- Perpetual Trustees (Responsible Entity): Holds the AFSL, manages regulatory compliance, and acts as trustee
- Macquarie Capital: Structures and issues the bonds
- NAB: Provides banking and payment processing services
The scheme is registered with ASIC and operates under the AFSL held by Perpetual Trustees.
2. How the Investment Works
When you invest in BondBricks Real Estate Bonds, you are purchasing units in a managed investment trust that owns Australian property assets. Your investment entitles you to:
- A proportional share of rental income from the property (distributed as monthly dividends)
- A proportional share of capital appreciation when property values increase
- The ability to sell your units on the secondary marketplace

4. Significant Risks

Risk of Loss
You may lose some or all of your invested capital. The value of your investment may go down as well as up.
Property Market Risk
Property values fluctuate based on economic conditions, interest rates, supply and demand, and local market factors. A downturn in the property market may reduce the value of your investment.
Rental Income Risk
Dividend payments depend on rental income, which may decrease due to tenant defaults, vacancies, or reduced rental demand. Dividends are not guaranteed.
Liquidity Risk
Real estate is an illiquid asset class. While our secondary marketplace provides some liquidity, you may not be able to sell your units quickly or at your desired price.
Interest Rate Risk
Rising interest rates may reduce property values and make property investments less attractive compared to other assets.
Regulatory Risk
Changes in taxation laws, property regulations, or investment scheme regulations may affect returns.
Concentration Risk

You will be charged the following fees:

6. Taxation
Tax implications depend on your personal circumstances. Generally:
- Dividend income is assessable income in the year received
- Capital gains tax may apply when you sell units
- CGT discount (50%) may be available if held for 12+ months
- Tax reports are provided annually

7. How to Invest
- Create an account and complete KYC verification
- Link your bank account for funding
- Browse available properties
- Select investment amount (minimum $100)
- Review and accept this PDS
- Complete payment
- Receive confirmation and units in your portfolio
8. How to Withdraw (Redemption Process)
To exit your investment, you can sell your bond units through our instant redemption program:
- Log into your BondBricks account and navigate to your Portfolio
- Click "Sell" on the holding you wish to redeem
- Confirm the number of units you wish to sell (partial or full holdings)
- Sale executes immediately at the current market price
- A 1.75% transaction fee is deducted from the sale proceeds
- Sold units are returned to the property's general availability pool for new investors
- Funds are transferred by Perpetual Trustees (licensed trustee) to your verified bank account within 2-5 business days
Important: While BondBricks strives to maintain liquidity, the redemption program is subject to availability. In rare circumstances, liquidity may be temporarily suspended for regulatory or operational reasons. Market price may fluctuate based on property valuations. There is no cooling-off period for this investment.
9. Investor Protection
Your investment is protected by:
- ASIC regulation and oversight
- Perpetual Trustees acts as independent custodian holding assets in trust (not BondBricks)
- Annual audits by independent auditors
- Compliance committee oversight
- Dispute resolution through AFCA (Australian Financial Complaints Authority)
